Terms of Service

These terms of service (hereinafter "the Terms") govern access to and use of the OrdoGrid platform (hereinafter "the Platform"), published by Innovaplus SRL, a Belgian company registered under company number BE 0681.892.974 (hereinafter "OrdoGrid", "we", "our" or "us").

By creating an account or using the Platform, you accept these Terms in their entirety. If you do not accept these Terms, you must not use the Platform.

1. Definitions

  • "User": any natural or legal person who creates an account on the Platform
  • "Service": all features offered by the Platform (invoicing, accounting, project management, payments, e-invoicing)
  • "Subscription": the plan subscribed to by the User to access the Service
  • "User Content": all data, documents and information entered or uploaded by the User on the Platform

2. Registration and account

2.1 Eligibility

The Platform is intended for professional use (B2B). To create an account, you must:

  • Be at least 18 years old
  • Act in the course of your professional activity
  • Provide accurate and complete information during registration

2.2 Account security

You are responsible for the confidentiality of your login credentials and for any activity carried out under your account. You must immediately inform us of any unauthorised use of your account at contact@ordogrid.com.

2.3 Team and invitations

The User may invite members to join their workspace. The User who created the workspace is responsible for the actions of all invited members.

3. Services offered

The Platform offers the following services, subject to the subscribed plan:

  • Invoicing: creation and management of invoices, quotes, receipts and credit notes
  • Client management: creation and tracking of a client directory
  • Accounting: import of bank statements, automatic reconciliation, management of accounting documents
  • Project management: dashboards, tasks, time tracking, collaboration
  • Online payments: creation of payment links via Stripe
  • E-invoicing: sending and receiving electronic invoices via the Peppol network

4. Subscription and pricing

4.1 Free trial

OrdoGrid may offer a free trial period, the duration of which varies depending on the chosen plan. Upon expiry of the trial, the User must subscribe to a paid plan to continue using the Service.

4.2 Payment

Payments are processed by Stripe. By subscribing, you accept Stripe's payment terms. Prices are displayed on the Pricing page and may be changed with 30 days' notice.

4.3 Refund policy

Subscriptions are non-refundable. You may cancel your subscription at any time, and it will remain active until the end of the current billing period. No pro-rata refund will be granted.

4.4 Renewal

Subscriptions are automatically renewed at the end of each billing period. You may cancel automatic renewal at any time from your account billing settings.

5. User obligations

The User agrees to:

  • Use the Platform in compliance with applicable laws and regulations
  • Provide accurate and up-to-date information, including company and VAT details
  • Not use the Platform for fraudulent or illegal purposes
  • Not attempt to gain unauthorised access to systems or other users' data
  • Not reproduce, copy, sell or exploit the Service for unauthorised purposes
  • Respect the intellectual property rights of OrdoGrid and third parties

6. User Content

6.1 Ownership

The User retains ownership of all User Content entered or uploaded on the Platform. OrdoGrid acquires no ownership rights over User Content.

6.2 Licence

The User grants OrdoGrid a limited, non-exclusive and revocable licence to process, store and display User Content solely for the purpose of providing the Service.

6.3 Responsibility

The User is solely responsible for the accuracy and legality of User Content. OrdoGrid does not verify the content of invoices, quotes or other documents generated by the User.

7. Intellectual property

The Platform, its source code, design, texts, logos, and all elements comprising it are the exclusive property of Innovaplus SRL and are protected by copyright and intellectual property laws.

The User is granted a personal, non-exclusive and non-transferable right to use the Service, limited to the duration of their subscription.

8. Service availability

OrdoGrid strives to ensure Service availability 24/7. However, we reserve the right to temporarily interrupt the Service for maintenance, updates or force majeure, without entitlement to compensation.

OrdoGrid does not guarantee that the Service will be error-free or uninterrupted. In the event of prolonged interruption, we undertake to inform Users as soon as possible.

9. Limitation of liability

To the extent permitted by Belgian law:

  • OrdoGrid provides the Service "as is". We do not guarantee that the Service will meet all your specific needs.
  • OrdoGrid shall not be liable for indirect damages, including loss of profits, data or business opportunities.
  • OrdoGrid's total liability is limited to the amount paid by the User during the preceding 12 months.
  • OrdoGrid is not responsible for errors in documents generated by the User (invoices, quotes, etc.).
  • OrdoGrid is not an accounting firm and does not provide tax or legal advice.

10. Suspension and termination

10.1 By the User

The User may terminate their account at any time from their account settings. Termination takes effect at the end of the current billing period.

10.2 By OrdoGrid

OrdoGrid reserves the right to suspend or terminate an account in the event of:

  • Violation of these Terms
  • Fraudulent or abusive use of the Service
  • Non-payment after formal notice
  • Prolonged account inactivity (more than 12 months)

In the event of termination, the User may export their data for a period of 30 days following termination, except in the case of a serious violation of the Terms.

11. Third-party services

The Platform integrates third-party services (Stripe, Google, Peppol, SendGrid) subject to their own terms of use. OrdoGrid is not responsible for the operation of these third-party services. The User is invited to consult the terms of use of these services.

12. Data protection

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

13. Changes to the Terms

OrdoGrid reserves the right to modify these Terms at any time. Changes will be communicated to Users by email or via a notification on the Platform at least 30 days before they take effect. Continued use of the Service after the new Terms take effect constitutes acceptance thereof.

14. Applicable law and disputes

These Terms are governed by Belgian law. In the event of a dispute relating to the interpretation or performance of these Terms, the parties shall endeavour to find an amicable solution. Failing that, the courts of the Brussels judicial district shall have exclusive jurisdiction.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in force. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
